Terms & conditionsThese Terms of Service are a legally binding contract between you and Snapwise Inc. (referred to as “brand” “us”, “our”, “we”), and govern your access to and use of the Ground News affiliate program, mobile application, Ground.News website (the “Site”), and any related products and services (collectively, the “Services”), including, without limitation, any materials, data, information, features, articles, videos and images uploaded, generated, or otherwise made available on or through the Services (collectively, the “Content”).</p><br /> <p>Any mention of “you” or “your” are in reference to the person accessing, using, and participating in the Services in any way.</p><br /> <p>By joining the Affiliate Program, you confirm that:</p><br /> <p>You are legally capable of entering into binding contracts.<br /><br /> You will provide accurate and complete Registration Data and that you shall inform us of any changes in your Registration Data.<br /><br /> If you are acting for an organization (such as a company or a partnership), you are authorized to enter into these terms for and on behalf of that organization (in which case, references in these terms to “you” are to that organization, and not you personally)<br /><br /> By accessing and using our site and the services on our site, and taking part in the Program, you are complying with all applicable laws and regulations in the country in which you are located.<br /><br /> You may not use your affiliate link to order subscriptions for yourself.</p><br /> <p>Please note that the following terms and conditions for the Ground News affiliate program are subject to change at any time, and it is the responsibility of the affiliates to check for updates.</p><br /> <p>Overview<br /><br /> The Ground News Affiliate Program allows approved individuals and businesses (“Affiliates”) to earn commissions by referring customers to Ground News through unique affiliate links.</p><br /> <p>Approval Process<br /><br /> All applicants must apply to the program and be approved by Ground News. Ground News reserves the right to reject any application for any reason.</p><br /> <p>Commission Rates<br /><br /> Affiliates will earn a commission of 40% of the net revenue (excluding taxes) from each sale purchased through the Ground News website using their unique affiliate link. Please note that all refunded sales are not a part of qualified payout transactions. See our Refund Policy for more details. </p><br /> <p>Payment<br /><br /> Commissions will be paid monthly, approximately 20 days after the end of the month in which the commission was earned. Payments will be made via Bank-wire, at the discretion of Ground News. Affiliates are responsible for any taxes or fees related to their commission earnings. The minimum threshold for payment release is $100. Ground News is not liable for payments made using incorrect banking info supplied by the affiliate.</p><br /> <p>Termination<br /><br /> Ground News may terminate an affiliate’s participation in the program at any time for any reason. Affiliates may also terminate their participation at any time by notifying Ground News in writing.</p><br /> <p>Prohibited Activities<br /><br /> Affiliates are prohibited from engaging in any activity that could be considered fraudulent, misleading, or illegal. This includes, but is not limited to, spamming, creating fake accounts, and making false or misleading claims about Ground News products or services.</p><br /> <p>Affiliates are not allowed to promote coupons, discount codes that are promoted through any internal communication and/or mentioned by a 3rd party as exclusive access. The only permitted discount offerings that affiliates may promote are those that are provided by our affiliate management team and made available within the Post Affiliate Pro dashboard.</p><br /> <p>SEM and PPC bidding related to brand or any trademark is not permitted and affiliates are never allowed to outrank or outbid Ground News on any brand keywords in paid search. Any affiliates identified to engage in prohibited PPC, SEM or SEO activities will be warned and asked to stop their practices. Affiliates engaging in such activities will be blocked from the program for non-compliance, if they fail to remedy the situation upon request and the unpaid commission will be withheld. </p><br /> <p>Use of Trademarks and Intellectual Property<br /><br /> Affiliates may use Ground News trademarks and intellectual property solely for the purpose of promoting the program and referring customers to Ground News. Affiliates may not modify or alter any Ground News trademarks or intellectual property without prior written permission.</p><br /> <p>Limitation of Liability<br /><br /> Ground News will not be liable for any damages arising from the affiliate’s participation in the program, including but not limited to lost profits or business interruption.</p><br /> <p>Modification of Terms<br /><br /> Ground News reserves the right to modify these terms and conditions at any time. Affiliates will be notified of any changes and are responsible for checking for updates.</p><br /> <p>Governing Law<br /><br /> These terms and conditions will be governed by and construed in accordance with the laws of the state of Ontario, Canada.</p><br /> <p>By participating in the Ground News Affiliate Program, you agree to the above terms and conditions.<br /><br />
